Terms And Conditions For Individual Subscriptions to Copell Financial ("The Service")

The Service is an online information service and Email service from Copell Financial. By using the Service, ("the Subscriber") you agree to the Terms and Conditions for a subscription. Please read the Terms and Conditions carefully. Copell Financial may revise the terms in this Agreement at any time. By using the Service after any change in the Agreement is posted, you agree to be bound by all of the changes.

The Subscriber is responsible for complying with the Terms and Conditions. Any violation of the Terms and Conditions may jeopardize future use of the Service, and upon any such violation, such account may be subject to immediate suspension or termination by Copell Financial as determined in its sole discretion.

Section 1. Copyright And Limitations On

1.1 Under the terms of a Subscription, access to Copell Financial content, services and other intelligence features is for the Subscriber ONLY and may not be shared. The Subscriber is responsible for the confidentiality and use of the Subscriber's user name and personal password. The Subscriber's responsibility extends to all activity and use under the user name and password. By purchasing the Subscription, you agree not to reproduce, retransmit, photocopy, distribute, disseminate, sell, publish, broadcast, or circulate the information received through the Service to anyone without the express prior written consent of Copell Financial. Information abstracted from our intelligence can be used for research purposes but not for commercial purposes. Copying and distributing original copyright-protected intelligence from the site is expressly forbidden.

1.2 The Subscriber agrees to provide complete and accurate account information. It is the sole responsibility of the Subscriber to report any changes to Copell Financial Customer Service department immediately. Further, if it is determined that the information provided is inaccurate or incomplete, Copell Financial reserves the right to suspend or terminate the account until such information is corrected by the Subscriber.

1.3 The information available through the Service is the property of Copell Financial or its licensors, and is protected by copyright and other intellectual property laws. Information received through the Service is for the Subscriber's use only.

1.4 Subscribers may not post any intelligence from the Service to newsgroups, mail lists, or electronic bulletin boards, without the prior written consent of Copell Financial.

1.5 Copell Financial reserves the right to monitor the Subscriber's use of all intelligence and services to ensure the Subscriber's compliance with the Terms and Conditions. If it is determined that the Subscriber is not in compliance with these Terms and Conditions, Copell Financial reserves the right to take such action as is deemed necessary, including, but not limited to, suspension or termination of the Subscriber's account. The Subscriber acknowledges that such monitoring of use may include determining whether or not the Service is accessed under the account from multiple IP addresses, as well as noting excessive use from Subscription accounts.

1.6 The Service includes facts, views, opinions, and recommendations of individuals and organizations deemed of interest. Copell Financial does not guarantee the accuracy, completeness, or timeliness of, or otherwise endorse, these views, opinions, or recommendations, or give investment advice.

Section 2. Disclaimer Of Warranties And Liability

2.1 Due to the number of sources from which information on the Service is obtained, and the inherent hazards of electronic distribution, there may be delays, omissions, or inaccuracies in such information and the Service.

2.2 Copell Financial AFFILIATES, AGENTS, AND LICENSORS CANNOT AND DO NOT WARRANT THE ACCURACY, COMPLETENESS, CURRENTNESS, NONINFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE OF THE NEWS AND INFORMATION AVAILABLE THROUGH THE SERVICE, OR THE SERVICE ITSELF. NEITHER Copell Financial NOR ANY OF ITS AFFILIATES, AGENTS, OR LICENSORS SHALL BE LIABLE TO THE SUBSCRIBER OR ANYONE ELSE FOR ANY LOSS OR INJURY CAUSED IN WHOLE OR IN PART BY ITS NEGLIGENCE OR CONTINGENCIES BEYOND ITS CONTROL IN PROCURING, COMPILING, INTERPRETING, REPORTING, OR DELIVERING THE SERVICE AND ANY NEWS AND INFORMATION THROUGH THE SERVICE. IN NO EVENT WILL Copell Financial, ITS AFFILIATES, AGENTS, OR LICENSORS BE LIABLE TO THE SUBSCRIBER OR ANYONE ELSE FOR ANY DECISION MADE OR ACTION TAKEN BY THE SUBSCRIBER IN RELIANCE ON SUCH INFORMATION, OR FOR ANY CONSEQUENTIAL, SPECIAL OR SIMILAR DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE SUBSCRIBER AGREES THAT THE LIABILITY OF Copell Financial, ITS AFFILIATES, AGENTS, AND LICENSORS, IF ANY, ARISING OUT OF ANY KIND OF LEGAL CLAIM (WHETHER IN CONTRACT, TORT, OR OTHERWISE), IN ANY WAY CONNECTED WITH THE SERVICE OR THE INFORMATION IN THE SERVICE, SHALL NOT EXCEED THE AMOUNT THE SUBSCRIBER PAID TO Copell Financial FOR USE OF THE SERVICE.

2.3 Copell Financial may discontinue or change the Service, or its availability, at any time without notice. The Subscriber's rights and obligations under this Agreement are not assignable. If any provision of this Agreement is invalid under applicable law, the remaining provisions will continue in full force and effect. This Agreement, all intellectual property issues, and your rights and obligations shall be governed by the laws of the United States of America and the State of New York governing contracts wholly entered into and wholly performed within New York.

Section 3. Payment Policies

3.1 Subscription -- Annual Account:
Accounts are prepaid on an annual basis and may be paid by check. Activation begins upon payment. Unless otherwise notified by Copell Financial, your credit card account will be automatically charged each year 30 days prior to the anniversary of your subscription or if payment is made by check a bill will be sent each year 30 days prior to the anniversary of your subscription. At that time, you will be renewed at the then current rate, unless you notify us of your desire to cancel your subscription at least thirty (30) days prior to the renewal date, or within thirty (30) days following your automatic renewal.

Section 4. Cancellation Policies

4.1 To cancel your Subscription, you may call our Customer Services Department at 201.332.7637, or send an e-mail request with the subject line "Subscription Cancellation Request" to customerservice@copellfinancial.com. Please be sure to provide your name, address, phone number, e-mail address, user name and password for authentication, and the reason you want to cancel. Cancellations are processed upon receipt of the cancellation request. Cancellations requesting a closing statement will receive confirmation via e-mail (if an e-mail address has been provided).

4.2 Subscription -- Annual Account: Upon cancellation, annual accounts will be charged only for the year of service during which the account was active. All fees and charges are nonrefundable for an annual account. However, if a user requests cancellation of an Annual Account within thirty (30) days following its automatic renewal date (see Section 3. Payment Policies), said request will be honored.

5.1 Copell Financial is committed to protecting your privacy. Information that we collect stays within Copell Financial and any information distributed to third parties is reported in aggregate only. Section 6. International Users

Copell Financial is controlled, operated and administered from its offices within the United States. Copell Financial makes no representation that materials or Content available through Copellfinancial.com are appropriate or available for use outside the United States and access to them from territories where their contents are illegal is prohibited. You may not use Copellfinancial.com or export the Content in violation of U.S. export laws and regulations. If you access Copellfinancial.com from a location outside the United States, you are responsible for compliance with all local laws.
